1. Acceptance of Terms
Welcome to DeFiner! By accessing or using our platform, you agree to be bound by these Terms and Conditions (“Terms”). These Terms cover both the client and design partner experience on DeFiner, including payment, service, and platform usage. If you disagree with any part of these Terms, please do not use DeFiner.
2. Description of Services
DeFiner is a comprehensive design tech platform that connects clients with professional designers. We offer tools and resources for various stages of the design process, including:
- Design Matching: Clients post project briefs, and our algorithm connects them with qualified designers based on skillset and stylistic preferences.
- Project Management: Manage projects efficiently with clear milestones, task lists, and real-time communication tools.
- Revision and Collaboration: Easily share feedback, track revisions, and collaborate seamlessly with your designer within the platform.
- Data-driven Platform: Utilize innovative features including AI to simplify and optimize your design workflow.
3. User Accounts
Both clients and design partners need to create individual accounts to access certain features and manage their profiles on DeFiner. You are responsible for keeping your account information confidential and any activity that occurs under your account.
4. User Conduct
All users are expected to conduct themselves respectfully and professionally while using DeFiner. Prohibited activities include but are not limited to:
- Copyright infringement, plagiarism, or any violation of intellectual property rights.
- Sharing offensive, discriminatory, or harassing content.
- Engaging in fraudulent activities or misrepresenting your skills or experience.
- Attempting to manipulate the platform or disrupt its functionalities.
5. Intellectual Property Rights
The content and information on DeFiner, including designs, graphics, text, and logos, are owned by Hobbyland Technology Limited or its licensors and are protected by intellectual property laws. You may not use, copy, or distribute any content without express permission.
6. User Submissions
Any designs, feedback, or other materials you submit to DeFiner. You agree and grant us a non-exclusive, royalty-free license to use these materials for platform improvement, marketing purposes, potential showcase, and in any manner with your prior consent.
7. Payment and Service
7.1 Client Payments
- Projects are quoted upfront during the matching process. Upfront downpayment (details in the quote) or milestone payments based on project scope occur before the start of the project. Balance held in DeFiner escrow until project completion/client satisfaction.
- Milestone payments based on project scope and timeline can be arranged, with each milestone representing 50% of the total fee.
7.2 Design Partner Payments
- Upon successful completion and client approval of each milestone, designers receive their respective payments.
- For projects terminated due to client dissatisfaction with the first draft, designers are not compensated for work already completed, but the client may still be responsible for agreed-upon minimum fees.
- Payouts are processed within 7 working days following the last day of the month in which the milestone was completed.
8. Client Satisfaction and Project Termination
Clients can terminate projects before completion due to dissatisfaction with the first draft. However, they remain responsible for any incurred fees as outlined in the project agreement. DeFiner reserves the right to mediate disputes and make final decisions based on project details and evidence.
9. Design Work Display and Withdrawal
- DeFiner has the right to showcase completed projects on its platform and marketing materials unless explicitly requested otherwise by the client or design partner.
- Design partners retain copyright and other intellectual property rights to their work.
- Design partners who wish to withdraw their work from the DeFiner database must provide 120 days written notice to DeFiner.
10. Designer Responsibilities
- Design partners must provide accurate and complete information during their registration process and demonstrate relevant skills and experience.
- Deliver high-quality, original work that meets project specifications and complies with intellectual property laws.
- Fulfill projects on time and communicate effectively with clients throughout the process.
- Maintain professional conduct and respect towards clients and other platform users.
11. Design Partner Quality and Performance
- DeFiner implements quality control measures to ensure design partners consistently deliver high-quality work.
- Any performance issues, delays, or unresponsive behaviors are addressed through our support team and may result in project reassignments, temporary suspensions, or account termination at DeFiner’s discretion.
12. Disputes and Resolution
DeFiner strives to resolve any disputes arising from using the platform fairly and efficiently. We encourage users to attempt amicable solutions before resorting to legal action. DeFiner reserves the right to intervene and make final decisions
13. Disclaimers
DeFiner provides its services on an “as is” and “as available” basis. We do not guarantee that our services will be uninterrupted or error-free.
14. Reservation of Rights
DeFiner reserves the right to exercise sole discretion in making final decisions on a wide range of matters concerning the platform and its services. This includes but is not limited to, resolving any issues with designers or clients, setting and adjusting pricing, managing project timelines, and overseeing the quality and suitability of designs. Our decisions aim to uphold the integrity of the platform, ensure compliance with these Terms, and maintain the highest standards of service for all users. Your continued use of our services signifies your agreement to abide by these decisions.
15. Limitation of Liability
Hobbyland Technology Limited shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use our services.
16. Amendments to Terms
We reserve the right to modify these Terms at any time. Your continued use of the services after any such changes constitutes your acceptance of the new Terms.
17. Termination
DeFiner reserves the right to terminate your access & forfeit any paid fees/collections for:
- Violating terms, including User Conduct
- Fraudulent activity, misrepresentation
- Intellectual property infringement
- Attempts to manipulate the platform
- Disruptive, offensive, or discriminatory behavior
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong.
